Welcome to Sheltas Health Inc. ("Sheltas," "we," "our," or "us").

These Terms of Use ("Terms") govern your access to and use of the Sheltas website, practitioner portal, customer platform, and related services.

By accessing or using our platform, you agree to be bound by these Terms.

Sheltas is a platform that connects healthcare practitioners with organizations developing and deploying healthcare AI to support practitioner-led evaluation, validation, contextualization, and other healthcare AI services.

You may use our platform only if you:

• Are at least 18 years old.
• Have the legal authority to enter into this agreement.
• Provide accurate and complete registration information.
• Comply with applicable laws and professional obligations.

Healthcare practitioners are responsible for ensuring that any professional credentials or licenses they provide are accurate and current.

You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activities conducted under your account.
• Promptly notifying Sheltas of any unauthorized access.

You may not share your account with another person.

You agree not to:

• Use the platform for unlawful purposes.
• Upload malicious software or harmful code.
• Attempt unauthorized access to the platform or other users' information.
• Reverse engineer or interfere with platform functionality.
• Misrepresent your identity or professional qualifications.
• Use platform content for purposes not authorized by Sheltas or the applicable customer.

If you participate as a healthcare practitioner, you agree to:

• Provide truthful professional information.
• Maintain confidentiality regarding customer projects.
• Complete assigned work independently and professionally.
• Follow applicable project instructions and evaluation protocols.
• Promptly disclose any actual or potential conflicts of interest.

Participation on the platform does not establish an employment relationship with Sheltas unless separately agreed in writing.

Organizations using the platform agree to:

• Submit only data they are authorized to use.
• Obtain all necessary permissions and consents.
• Comply with applicable laws and regulations.
• Ensure project materials do not infringe the rights of others.

Unless otherwise agreed in writing:

• Sheltas retains ownership of the platform, software, branding, and proprietary methodologies.
• Data generated by practitioners through their use of the platform - including practice tasks, evaluations, ratings, annotations, prompts, and model outputs produced outside the scope of a specific customer project - is owned by Sheltas and may be used to develop, train, and improve Sheltas's platform, models, and methodologies.
• Customers retain ownership of their submitted materials and data.
• Work products generated by practitioners in connection with a customer project belong to the customer or as otherwise specified in the applicable agreement.

Notwithstanding the foregoing, Sheltas may collect, use, and create aggregate, de-identified, or derived data from customer materials, customer data, and work products (including practitioner activity connected to customer projects), and may use such aggregate or de-identified data to operate, maintain, and improve the platform, train or improve models and methodologies, and for analytics, benchmarking, and research purposes. Sheltas will not use such data in a manner that identifies a customer or any individual without consent.

Nothing in these Terms transfers ownership of intellectual property except as expressly stated.

Users may receive confidential information relating to customer projects, AI models, datasets, evaluation protocols, business information, or other proprietary materials.

You agree not to disclose or use such information except as necessary to perform authorized activities on the platform.

Where applicable:

• Practitioner compensation will be communicated before project participation.
• Payments are subject to applicable tax and legal requirements.
• Sheltas may withhold payments where fraud, policy violations, or contractual breaches are reasonably suspected.

Your use of the platform is also governed by our Privacy Policy, which explains how we collect, use, and protect personal information.

Our platform may integrate with third-party services, including cloud hosting, authentication providers, analytics, payment processors, and communication tools.

Sheltas is not responsible for the independent privacy or security practices of third-party services.

The Sheltas platform is provided on an "as is" and "as available" basis.

Except where prohibited by law, Sheltas makes no warranties regarding uninterrupted availability or that the platform will be free from errors.

To the fullest extent permitted by applicable law, Sheltas shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from the use of the platform.

Nothing in these Terms limits liability that cannot legally be excluded.

Sheltas may suspend or terminate accounts that:

• Violate these Terms.
• Engage in fraudulent or unlawful activity.
• Create security risks.
• Misuse the platform.

Users may stop using the platform at any time.

We may update these Terms from time to time.

Continued use of the platform after updates become effective constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.
